FRANZlegal advises Hüls Group on the Divestiture of Rolf Benz

FRANZlegal advised Hüls group on the divesture of premium sofa manufacturer Rolf Benz to Jason Furniture. Jason Furniture is a publicly listed Chinese manufacturer of furniture and other household products and is active under the brand KUKA Home in 119 countries. The transaction will be closed once customary conditions precedent are fulfilled.

André Kowalski and Christoph Neven, partners of FRANZlegal, advised Hüls group on this transaction after they had already supported Hüls on the sale of RUF-Betten and Parador in 2016. Jason Furniture relied on Orrick and PwC. Orrick's team was led by Wilhelm Nolting-Hauff and Hang Xu while Roman Wollscheid was responsible for the PwC team. Acting notary was Armin Hauschild.

FRANZlegal advises on the divestiture of Hallo Pizza to Domino's

FRANZlegal advised the sole shareholder on the divesture of Hallo Pizza Group to Domino's. Hallo Pizza is Germany's second largest independent pizza delivery service with approximately 170 restaurants. The acquirer is a joint venture between Australia's Domino's Pizza Enterprises Limited and British Domino's Pizza Group plc. that currently operates around 210 restaurants in Germany. The share purchase agreement was concluded on October 18, 2017 and will be closed in early 2018.

FRANZlegal advises the city Plettenberg concerning their disposal of its shareholding in the Krankenhaus Plettenberg gGmbH (non-profit limited liability company)

FRANZlegal advised the city Plettenberg concerning the sale of its majority interest in the Krankenhaus Plettenberg gGmbH to Radprax-group. At the same time, Radprax also purchased the residual interest of the Mendritzki foundation. The Krankenhaus Plettenberg gGmbH operates especially the local  hospital and a retirement home in Plettenberg.  Due to the sale, the city was able to separate from the sustained deficit shares and was further able to secure at least for the medium term the continued existence of the hospital .

The transaction has been executed at the end of August 2017.

FRANZlegal advised the founders and majority shareholders of the ProfitBricks GmbH concerning the sale of their shares to 1&1 Internet SE

FRANZlegal advised the founders and major shareholders of the ProfitBricks GmbH, namely Andreas Gaugner and Achim Weiß, concerning the sale of their majority interest to 1&1 Internet SE. ProfitBricks GmbH with its head office in Berlin was founded in 2010 and employs over 120 employees. The company is a specialized cloud computing provider for Infrastructure-as-a-Service (IaaS) in Germany, and provides professional public and hybrid cloud solutions on the basis of the strict German and European privacy policies. ProfitBricks GmbH will now offer individual and professional cloud solutions in co-operation with 1&1 Internet SE. Achim Weiß will be member oft he board of 1&1 Internet SE and will therefore manage a new division relating to professional cloud solutions.

The transaction was closed in mid-August 2017.
