FRANZlegal advised QSIL, one of the leading manufacturers for quartz glass and oxide ceramic, in the acquisition of the special ceramic producer Barat Ceramics. With this acquisition, QSIL Group grows to 600 employees and a sales revenue of more than EUR 100 million. The transaction was concluded shortly before Christmas 2018 and was already closed at the end of 2018.

FRANZlegal advises PROSEGUR in the acquisition of BaS Solution GmbH

FRANZlegal advised PROSEGUR, one of the leading security service providers in the world, in the acquisition of 100% of the shares in BaS Solution GmbH. BaS Solution with registered office in Garching nearby Munich and further locations in Hamburg, Chemnitz and Cologne specializes in manufacturer-independent services for the technical banking sector. The services offered range from full technical service or second-line maintenance of ATMs, bank statement printers or other self-service devices to sales, transport, installation and implementation of entire projects. Its customers include more than 150 savings banks (Sparkassen), banks and numerous companies from other sectors.

FRANZlegal advised VM Capital Advisors GmbH in the acquisition of PAVOY GmbH

FRANZlegal advised VM Capital Advisors GmbH in the acquisition of PAVOY Paul van Oyen Fabrik für Lager- und Betriebseinrichtungen GmbH. PAVOY, founded in 1946 and family-owned since 1954, produces high-quality steel plant equipment at the Hillesheim site in the Eifel region of Germany. PAVOY currently employs approx. 90 people and supplies approx. 1,400 customers in almost all European countries. The acquisition was made by investors who were advised by VM Capital Advisors GmbH.

In addition to the acquisition of the shares in the Pavoy, the investors also took over the company property within the scope of a simultaneous real estate purchase. For FRANZlegal the partners Antonio Calderón and Dr. Christoph Neven were involved in the transaction.

FRANZlegal advises on Eckes-Granini's participation in true fruits

FRANZlegal advised the founders and shareholders of true fruits GmbH, Bonn, on Eckes-Granini Group's participation in the company.

true fruits is a leading supplier of chilled fruit beverages in Germany. Eckes-Granini Group GmbH, Nieder-Olm, a leading supplier of non-alcoholic fruit beverages in the European market, has acquired 35 % of the share capital of true fruits GmbH. The founders and managing directors Marco Knauf, Inga Koster and Nicolas Lecloux remain strategically and operationally responsible for the company.

The transaction was completed in mid-May 2018.

FRANZlegal advises Hüls Group on the Divestiture of Rolf Benz

FRANZlegal advised Hüls group on the divesture of premium sofa manufacturer Rolf Benz to Jason Furniture. Jason Furniture is a publicly listed Chinese manufacturer of furniture and other household products and is active under the brand KUKA Home in 119 countries. The transaction will be closed once customary conditions precedent are fulfilled.

André Kowalski and Christoph Neven, partners of FRANZlegal, advised Hüls group on this transaction after they had already supported Hüls on the sale of RUF-Betten and Parador in 2016. Jason Furniture relied on Orrick and PwC. Orrick's team was led by Wilhelm Nolting-Hauff and Hang Xu while Roman Wollscheid was responsible for the PwC team. Acting notary was Armin Hauschild.
