FRANZlegal has advised Prosegur CashServices Germany GmbH in the acquisition of the classical cash-in-transit business for banks and trade customers of S.A.T. Security & Transport GmbH

Prosegur is one of the leading security service providers worldwide with over 175,000 employees on five continents. Prosegur is active in Germany with 31 branches and more than 4,000 employees. The service portfolio in the field of cash and valuables transport includes Prosegur Smart Cash (automated deposit solutions), ATM services, valuables and courier logistics as well as cash management. The company bundles its social and cultural commitment in the Prosegur Foundation. With this transaction, Prosegur is setting a further clear signal for its sustainable growth course in the German market.

Dr. Patrick Vogt and Antonio Calderón (both M&A) as well as Dr. Timm Jordans (employment law) were involved in the transaction for FRANZlegal. FRANZlegal has long-standing client relationships with Prosegur and its group companies. FRANZlegal last advised Prosegur on the acquisition of BaS Solution GmbH in October 2018.

Dr. André Kowalski is mainly active in Mergers & Acquisitions and advises companies, its shareholders and corporate bodies in corporate related matters, in particular, but not limited to, restructuring processes as well as the establishment of joint ventures. Another focus is advising family owned companies and their shareholders. Dr. André Kowalski is also frequently appointed as arbitrator in corporate-related arbitration proceedings.

FRANZ RECHTSANWÄLTE has advised the family shareholders of GSM Gladbacher Spinnstoffindustrie M. Mühlen GmbH & Co. KG, Mönchengladbach, on the sale of their family business to STW Schwarzwälder Textil-Werke Gruppe, Schenkenzell.

GSM Gladbach Spinnstoffindustrie M. Mühlen GmbH & Co. KG is one of the world' s leading chemical fibre recycling companies based in Mönchengladbach. STW Schwarzwälder Textil-Werke Gruppe is a manufacturer of fibre products and offers tailor-made fibre solutions to its customers. The STW Schwarzwälder Textil-Werke Gruppe will continue operations at the Mönchengladbach site.

The transaction was completed in mid-March 2019.

Sarah König strengthens team as new lawyer

On 1 February 2019, Sarah König joined FRANZ Rechtsanwälte.  Sarah advises national and international clients on M&A transactions and corporate law. Prior to joining FRANZ RECHTSANWÄLTE, Sarah worked a couple of years for the international law firm Freshfields Bruckhaus Deringer LLP in Düsseldorf.

FRANZlegal advised QSIL in the acquisition of Barat Ceramics

FRANZlegal advised QSIL, one of the leading manufacturers for quartz glass and oxide ceramic, in the acquisition of the special ceramic producer Barat Ceramics. With this acquisition, QSIL Group grows to 600 employees and a sales revenue of more than EUR 100 million. The transaction was concluded shortly before Christmas 2018 and was already closed at the end of 2018.
