FRANZlegal has advised the shareholders of Wilhelm Dietz GmbH & Co. KG, Düsseldorf, on the sale of their family business to US-American Master Fluid Solutions

Wilhelm Dietz GmbH & Co. KG is active in the development and manufacture of high-performance lubricants and special products for metalworking under its WEDOLiT brand name. Master Fluid Solutions is a global medium-sized company with a leading position in the field of cooling lubricants (water miscible and non-water miscible) and other products and services in the lubricants industry. Master Fluid Solutions will continue operations at the Düsseldorf site.

The transaction was completed on 7 October 2019.

The family shareholders of Wilhelm Dietz GmbH & Co. KG were advised by Axel Staudt, Dr. Patrick Vogt, Sebastian Henning (partner) and Sarah König (associate).

FRANZlegal advises ag.supply on financing round

FRANZlegal advised ag.supply, the e-commerce platform for agricultural accessories on the Internet, on the Series A financing round. The transaction documentation was signed in September 2019.

FRANZlegal advised the Hüls family on Thomas Knecht's entry into the company

FRANZlegal advised the family shareholders of Hüls Group on the termination of the trust and the entry of the new investor and manager Thomas Knecht.

Thomas Knecht is a restructuring specialist and was most recently CEO and CRO of the logistics company Hellmann, which he successfully restructured.

The Hüls Group manufactures furniture and interior finishing materials and is best known for the Hülsta brand, the best-known German manufacturer's furniture brand. In recent years FRANZlegal has supported Hüls Group in the sale of its subsidiaries Rolf Benz, RUF and Parador. Most recently, the majority shareholding in Hüls was held by a dual-use trust company. This trust was terminated as part of the transaction.

The transaction was completed in August 2019.

FRANZlegal has advised Prosegur CashServices Germany GmbH in the acquisition of the classical cash-in-transit business for banks and trade customers of S.A.T. Security & Transport GmbH

Prosegur is one of the leading security service providers worldwide with over 175,000 employees on five continents. Prosegur is active in Germany with 31 branches and more than 4,000 employees. The service portfolio in the field of cash and valuables transport includes Prosegur Smart Cash (automated deposit solutions), ATM services, valuables and courier logistics as well as cash management. The company bundles its social and cultural commitment in the Prosegur Foundation. With this transaction, Prosegur is setting a further clear signal for its sustainable growth course in the German market.

Dr. Patrick Vogt and Antonio Calderón (both M&A) as well as Dr. Timm Jordans (employment law) were involved in the transaction for FRANZlegal. FRANZlegal has long-standing client relationships with Prosegur and its group companies. FRANZlegal last advised Prosegur on the acquisition of BaS Solution GmbH in October 2018.
